TERMS OF SERVICE

By accessing or using CLUTCH PLAY ("the Platform"), operated by Empty Agenda LLC, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User," "Player") and Empty Agenda LLC regarding your use of the Platform and all competitive gaming services offered therein.

Age Requirement: You must be at least 18 years of age to register for or use any real-money features of CLUTCH PLAY. By creating an account and entering any paid tournament, you represent and warrant that you are 18 years of age or older.

Identity Verification: We reserve the right to request identity verification documentation at any time. Failure to provide satisfactory verification may result in account suspension and forfeiture of pending funds pending investigation.

Geographic Eligibility: You must reside in a jurisdiction where skill-based competitive gaming with cash prizes is permitted. See Section 4 (Geographic Restrictions) for details.

One Account Per Person: Each player may hold only one active account. Operating multiple accounts is a violation of these Terms and may result in permanent ban and forfeiture of all balances.

CLUTCH PLAY is a skill-based competitive gaming platform. It is not a gambling service, casino, lottery, or game of chance. All match outcomes are 100% determined by the relative skill, knowledge, and experience of the participating players.

Specifically:

• Players compete directly against one another in video game titles where skill is the predominant factor.
• Results are verified using live console data and platform APIs — not random number generation or chance mechanisms.
• Entry fees are fixed and disclosed prior to match entry. Cash prizes are awarded based solely on verified match outcomes.
• The Platform does not accept or place bets on behalf of any user. No wagering against the house occurs.

By entering any paid tournament, you acknowledge and agree that the outcome of your match is determined by your own skill and gameplay performance.

Real-money competitive gaming is regulated differently across U.S. states and international jurisdictions. CLUTCH PLAY does not permit real-money participation from users located in the following U.S. states:

Users in these states may access the Platform for free-play and practice modes only. Attempting to bypass geographic restrictions using VPNs, proxy servers, or other means is a violation of these Terms and may result in immediate account termination and forfeiture of all funds.

This list is subject to change as legislation evolves. It is your responsibility to verify that participation is lawful in your jurisdiction prior to depositing funds.

Entry Fees: To participate in a paid competitive match, each player submits a fixed entry fee. Entry fees are disclosed clearly before match confirmation.

Escrow Holding: All entry fees are held in a secure Stripe-managed escrow account upon match confirmation. Funds remain in escrow until match results are verified by our platform systems.

Platform Service Fee: CLUTCH PLAY retains a service fee (currently 10%) from the total entry pool to cover platform operations, payment processing, and verification infrastructure. This fee is disclosed prior to match entry.

Prize Distribution: The net prize (total entry pool minus service fee) is credited to the verified winner's platform balance upon match result confirmation. Prizes may be withdrawn to a linked bank account via Stripe Connect.

Refunds: Entry fees are refundable only in cases of: (a) opponent no-show after the lobby timeout period, (b) verified platform error, or (c) mutual cancellation before match start. All refund decisions are final and at the sole discretion of Empty Agenda LLC.

Deposits are processed via Stripe and credited to your platform cash balance. Withdrawals transfer your available cash balance to your Stripe Connect-linked bank account. Withdrawal processing times are subject to Stripe's standard payout schedules (typically 2–5 business days).

Immediate Withdrawal Availability: For verified players, winnings become available for withdrawal immediately upon match completion.

Minimum Withdrawal: The minimum withdrawal amount is $5.00. Standard Stripe processing fees apply.

The following conduct is strictly prohibited and may result in immediate account termination:

• Use of aimbots, wall hacks, macros, or any unauthorized third-party software.
• Match collusion or coordinated loss of matches for financial gain.
• Impersonating another player or using another person's gaming credentials.
• Dispute abuse or false result reporting.
• Attempting to exploit platform systems, escrow mechanisms, or verification processes.

You are responsible for maintaining the confidentiality of your account credentials. CLUTCH PLAY employs PIN-protected withdrawal verification and optional biometric authentication to protect your funds. You must notify us immediately at support@clutchplay.net if you suspect unauthorized access to your account.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EMPTY AGENDA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE DEPOSITED IN THE 30 DAYS PRECEDING THE CLAIM.

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class-action lawsuit against Empty Agenda LLC.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions.
